Supplemental Terms & Conditions

1 Order conditions OSW Netherlands B.V.

1.1 These order conditions (hereinafter: "Order Conditions") apply to all offers, quotations, orders and agreements between OSW Netherlands B.V. (hereinafter: "OSW") and its customer(s) (hereinafter: "Customer" or "Customers").

1.2 These Order Terms and Conditions supplement OSW's general terms and conditions of sale (hereinafter: "General Terms and Conditions"). The General Terms and Conditions are available online at https://osw.energy/nl/terms_and_conditions.

1.3 By registering for an online account with OSW, placing an order for Products or Services and/or otherwise purchasing Products or Services, the Customer confirms that it has read, understood and accepted these Order Terms and Conditions and the General Terms and Conditions.

1.4 If the Customer does not accept these Order Conditions and/or the General Terms and Conditions, the Customer must refrain from placing any order for Products or Services.

1.5 In the event of any conflict between these Order Conditions and the General Terms and Conditions, these Order Conditions shall prevail.

2 Conclusion of an agreement

2.1 By placing an order for Products on the Website, sending a purchase order or otherwise placing an order with OSW, the Customer makes an offer to enter into an agreement to purchase the Products or Services specified in that order (hereinafter referred to as the "Purchase Order").

2.2 An agreement (hereinafter referred to as the "Agreement") is concluded at the moment that OSW has confirmed the Purchase Order in writing or electronically (hereinafter referred to as the "Sales Order"), or at the moment that OSW has commenced the execution of the Purchase Order.

2.3 No Agreement is concluded without an offer by OSW or the Customer and acceptance of that offer by OSW or the Customer.

2.4 Each Purchase Order confirmed by OSW constitutes a separate, independent purchase agreement between OSW and the Customer. There is no connection between such separate Agreements and they cannot be regarded as part of a current continuing agreement or framework agreement. The Customer cannot derive any rights from a previous Agreement between OSW and the Customer.

2.5 The mere fact that the Customer regularly, repeatedly or structurally places or has placed Purchase Orders with OSW during a certain period does not result in an obligation for OSW to accept future Purchase Orders.

2.6 OSW reserves the right to refuse any new Purchase Order or to change its offer (including price, volume, delivery times and guarantees) in relation to a previous Agreement and/or Sales Order between OSW and the Customer.

3 Deviating agreements

3.1 Deviating agreements between OSW and Customers can only be agreed in writing and apply exclusively to the specific Agreement to which they relate. Deviating agreements made for previous Agreements do not automatically apply to new Agreements and must be expressly agreed again for each Agreement.
